Welcome to Zyren Technologies ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of our services, products, website, and any related applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services Provided

Zyren Technologies provides AI-powered radiology reporting software, PACS/CMS integration services, enterprise deployment, and related technical and consulting services ("Services"). The scope of services will be defined in the individual proposal, statement of work (SOW), or agreement signed with you ("Client", "you", "your").

2. Eligibility

To use our Services, you must:

• Be at least 18 years old or the legal age in your jurisdiction

• Have the authority to enter into a binding agreement on behalf of your organisation

• Provide accurate and complete information when requested

3. Use of Services

You agree to:

• Use our Services only for lawful purposes

• Not engage in activities that harm, disrupt, or overload our systems

• Not attempt to reverse-engineer, copy, or exploit our proprietary tools without written consent

You are solely responsible for all content and data you provide to us, including clinical template content and system configurations.

4. Clinical Responsibility

Zyren Technologies provides a reporting assistance tool. All clinical findings are dictated by a qualified, licensed radiologist or sonographer. The radiologist retains full clinical responsibility for the accuracy, completeness, and sign-off of every report generated using our platform. Zyren Technologies does not make diagnostic decisions and is not liable for clinical outcomes.

5. Intellectual Property

All intellectual property rights in our AI models, software, tools, designs, and platform remain the exclusive property of Zyren Technologies unless otherwise stated in writing.

• You receive a licence to use the platform for your internal clinical operations as per the agreed scope

• You may not resell, redistribute, or commercially exploit the platform without prior written consent

6. Payment Terms

• All fees are specified in the invoice or enterprise agreement

• Payments must be made within the specified due date

• Late payments may incur interest and/or suspension of services

• All amounts are non-refundable unless otherwise stated in your agreement

7. Confidentiality

Both parties agree to protect confidential information shared during the project and term of service. Confidential information does not include information that is publicly available or lawfully obtained from a third party. Enterprise clients will additionally be covered by a separate Data Processing Agreement (DPA).

8. Data & Patient Information

Zyren Technologies' architecture ensures that no patient personally identifiable information (PII) or protected health information (PHI) is transmitted to or stored on Zyren's servers. Clients are responsible for ensuring their own infrastructure complies with applicable healthcare data regulations in their jurisdiction, including GDPR, UK GDPR, Australian Privacy Act, PDPA, and any other relevant local legislation.

9. AI Output Disclaimer

• Zyren's platform assists in structuring and completing radiology reports based on clinician-dictated findings

• AI outputs must be reviewed and approved by a qualified radiologist before finalisation

• You are responsible for verifying all generated content before clinical use or submission

10. Limitation of Liability

To the fullest extent permitted by law:

• Zyren Technologies will not be liable for any indirect, incidental, or consequential damages

• Our total liability will not exceed the amount you paid for the specific service in dispute in the preceding 12 months

11. Third-Party Services

Our Services integrate with third-party PACS and CMS platforms. We are not responsible for the actions, policies, availability, or failures of such third-party systems.

12. Termination

We may suspend or terminate your access to Services if:

• You breach these Terms

• You fail to pay fees due

• We reasonably believe your use harms our operations or reputation

Upon termination, your right to use the Services ends immediately. Data deletion or return will be handled per your Data Processing Agreement.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Belgium. Disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, they shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

14. Changes to Terms

We may update these Terms at any time. Continued use of our Services after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email to active clients.
